Terms of Service

Effective 1 November 2026

These terms are an agreement between you and Quantumedge Technologies Ltd (“we”, “us”) for your use of MarketsCoder (the “Service”). By creating an account or using the Service you agree to them. If you don't agree, don't use the Service.

1. What the Service is

MarketsCoder is software for writing, backtesting and running trading algorithms. It includes a code editor, an AI assistant, historical datasets, backtests, and paper and live trading through broker and exchange accounts you connect. We are a software provider. We are not a broker, dealer, exchange, investment adviser or custodian, and nothing in the Service is investment, financial, tax or legal advice. You decide what your algorithms do and whether to run them.

2. Your account

  • You must be at least 18 and able to enter a binding contract, and trading must be legal for you where you live.
  • Give us a valid email address and keep your password secret. You're responsible for everything done with your account.
  • Tell us at info@marketscoder.com straight away if you think someone else has used it.

3. Connected broker and exchange accounts

  • When you connect an account, you give us API keys so the Service can read your balances and positions and place the orders your algorithms make. We store them encrypted and never show them again.
  • Create keys with the least access needed: trading and reading, never withdrawals. You can revoke them at your broker at any time.
  • Orders are placed under your account with your broker, under their terms. We don't hold your funds or securities there and can't reverse an order once your broker has it.
  • A live deployment trades real money. You confirm that before it starts, and you can stop it at any time; stopping it leaves open positions as they are.

4. The AI assistant

The assistant uses a third-party AI model to write and change code, run backtests and explain results. It can be wrong. Review every change it makes before you backtest or trade with it. Its output is not advice, and you are responsible for the code you run.

You can also start background agents. An agent works without supervision towards a goal you set, within a budget you set, on a copy of your algorithm, and can edit that copy and run backtests. An agent's report and final test describe the past and are not advice. Nothing reaches your algorithm until you review the changes and adopt them, and agents do not deploy algorithms or place orders.

5. Credits, payments and fees

  • The Service is paid for from a prepaid credit balance, in US dollars. You add credit with the methods on the Billing page (such as USDT or Bitcoin), and use is charged against it at the prices shown there: backtest minutes, deployment hours, and the AI assistant and background agents at their model cost plus a margin. An agent's budget has to be in your balance when it starts; you pay for what it uses, up to about that budget, even if the result isn't useful.
  • Some features stop when your balance runs out (for example, the AI assistant needs a minimum balance to reply).
  • Crypto payments are final once confirmed on their network, and are credited at the rate stated when you pay. Send only the currency and network the payment page names: funds sent otherwise may be lost.
  • Credit has no cash value and is not refundable, except where the law requires otherwise.
  • We may change prices with at least 14 days' notice; changes don't affect use already charged.

6. Acceptable use

Don't use the Service to:

  • break any law or regulation, including market abuse such as manipulation, spoofing or wash trading;
  • trade for others or offer the Service to others without our written agreement;
  • attack, overload, probe or reverse-engineer the Service, get around its limits, or access other users' data;
  • upload malicious code, or code or data you have no right to use.

7. Your content

Your algorithms, code and data stay yours. You give us the permission we need to store and run them to provide the Service to you. We don't sell them or use them to trade.

8. Availability

We work to keep the Service running, but it can be interrupted by maintenance, faults, or problems at brokers, exchanges, networks or our providers, and running algorithms can stop as a result. The Service is provided “as is”, without warranties of any kind to the extent the law allows.

9. Liability

Trading carries risk of loss, described in our Risk Disclosure. To the extent the law allows, we are not liable for trading losses, lost profits, or indirect or consequential losses, including those caused by your algorithms, AI-generated code, data errors, broker or exchange actions, or interruptions to the Service. Our total liability for any claim is limited to the amount you paid us in the 3 months before it arose. Nothing here limits liability that can't be limited by law.

10. Ending your use

You can stop using the Service and ask us to close your account at any time. We may suspend or close accounts that break these terms or put the Service or others at risk, and will tell you why where we can. Stopping or closing an account stops its live deployments.

11. Changes and governing law

We may update these terms; we'll tell you of material changes before they take effect, and continuing to use the Service means you accept them. These terms are governed by the laws of Kenya, and its courts have jurisdiction over disputes about them.
